Case Sentinel End User License Agreement

This End User License Agreement ("Agreement") is a legal agreement between you and Shadownet Digital ("Shadownet", "we", "our", "us") governing your use of the Case Sentinel application ("Software").

1. License Grant

Subject to your compliance with this Agreement, Shadownet grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Software solely for your internal business purposes.

2. Restrictions

You may not, and may not permit any third party to:

• reverse engineer, decompile, or disassemble the Software;
• redistribute, sublicense, resell, rent, or lease the Software; or
• remove or alter any proprietary notices contained in the Software.

3. Ownership

The Software is licensed, not sold. Shadownet retains all right, title, and interest in and to the Software, including all intellectual property rights. No rights are granted to you other than as expressly set forth in this Agreement.

4. User Responsibility

You are solely responsible for the accuracy and legality of all data you enter into the Software, and for maintaining the confidentiality of your account credentials and all activity that occurs under your account.

5. Third-Party Services

The Software integrates with Intuit QuickBooks Online. Your use of the QuickBooks integration is subject to Intuit's own terms of service and privacy policy. Shadownet is not responsible for third-party services.

6. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SHADOWNET BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR YOUR USE OF THE SOFTWARE. SHADOWNET'S TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO SHADOWNET FOR THE SOFTWARE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Termination

This Agreement remains in effect until terminated. Shadownet may suspend or terminate your access to the Software at any time for any breach of this Agreement. Upon termination, all rights granted to you under this Agreement will cease.

9. Governing Law

This Agreement is governed by and construed in accordance with the laws of the State of Alabama, without regard to its conflict of law principles.
